“THE ARSENAL” MEMBERSHIP SCHEME CONDITIONS OF ISSUE FOR SEASON 2012-2013

1. Conditions of Issue Governing Membership

1.1 The Member shall (subject to the provisions regarding Gold and Platinum Members set out in paragraph 1.3 below) pay the Fee to the Club (or as otherwise directed by the Club) on an annual basis.  In the event of the Fee being dishonoured, the Club (or such other entity as the Club shall direct) shall be entitled to charge the Member an administration charge and any bank charges incurred by the Club.  The Fee payable by Gold and/or Platinum Members is included in the price of an Arsenal season ticket and no additional Fee is therefore payable by Gold and/or Platinum Members.

1.2 On commencement of a Member’s membership in accordance with paragraph 1.3 below, the Club will activate and/or dispatch the membership card (the “Membership Card”) to the Member, no later than the first day of the relevant football season (or 28 days after the Club receives payment, whichever is later).  Membership packs will not be sent to Members who have selected Red Lite or Silver Lite membership. The Member shall be entitled to the relevant benefits listed in the application form and on the Website from time to time.  However, if any of the items or other benefits listed in the application form or on the Website are unavailable, the Club reserves the right at its sole discretion to substitute for such items similar items of equivalent value as the Club may from time to time decide.

1.3 A Member’s membership shall commence on the date of receipt of the appropriate Fee (which, in the case of Gold and/or Platinum Members, shall be the date of receipt of the appropriate payment for an Arsenal season ticket).  Membership is valid for the 2012-2013 season from the date of receipt of the Fee (unless expressed to terminate earlier or unless terminated earlier in accordance with these Conditions of Issue), after which it will (unless renewed) expire.

2. Use of Membership Card

2.1 In order to obtain any benefits, the Member must present a valid Membership Card for inspection by the Club.  In particular, the Membership Card must be brought to all of the Club’s home matches and other events (where instructed by the Club) at the Emirates Stadium to which the Member gains entry using a Membership Card and the Member must make the Membership Card available for inspection on demand by any steward, security officer or other member of Arsenal staff.

2.2 The Membership Card is personal to the Member and is not transferable and shall not be transferred, save as permitted in respect of Gold Members pursuant to the relevant provisions  of the “Season Ticket Conditions of Issue for Season 2012-2013” and in respect of Platinum Members the relevant provisions of the Club Level Seat Licence Terms and Conditions.  Any match day tickets purchased by the Member using the Membership Card are personal to the Member and are not transferable and shall not be transferred, save as permitted by the “Home Match Ticket Conditions of Issue for Season 2012-2013”.  All Membership Cards and match day tickets shall remain the property of the Club.  The Member shall return the Membership Card to the Club when asked to do so by the Club.

2.3 Every ticket purchased using the Membership Card will be recorded electronically; any paper tickets issued shall have the Member’s membership number printed on it.  

2.4 The Club may suspend or cancel the Membership Card (and all associated benefits) in the event of any misuse of the Membership Card by the Member, including where the Member transfers, or attempts to transfer, any rights to use the Membership Card, or any match day ticket purchased using the Membership Card, to any other person, in each case save as permitted pursuant to paragraph 2.2 of these Conditions of Issue.  

2.5 The Member agrees to conduct himself or herself in a manner befitting a representative of the Club and will not do anything or procure that anything be done which might bring the name or reputation of the Club into disrepute.  Each Member must ensure that any match day tickets he or she purchases are used responsibly.  

2.6 Any Member, acting alone or with others, whose conduct, or incitement of others, results in disciplinary action being taken against the Club by FIFA, UEFA, The Football Association or the Premier League shall be jointly and severally liable to the Club for any loss the Club thereby suffers.  The Member shall also be jointly and severally liable to the Club for any loss the Club suffers as a result of the behaviour of a third party gaining access to a match using the Membership Card with the Member’s permission.

2.7 The unauthorised sale of tickets is illegal under section 166 of the Criminal Justice and Public Order Act 1994, as amended by the Violent Crime Reduction Act 2006, and is also illegal under section 2 of the Fraud Act 2006. The Club will inform the police when it becomes aware that tickets are being sold illegally and will press for charges to be brought against those breaking the law. If a Member is convicted of a ticket touting offence, or the Club reasonably suspect a Member has committed a ticket touting offence, the Club will notify the Premier League who may in turn notify other Premier League Clubs and/or the relevant law enforcement authorities. The information that the Club shares may include your personal details, information about the offence and about ticket purchases (including payment details). The Club will use this to identify and prevent ticketing offences and disorder at matches. The Club may cancel the Membership Card (and all associated benefits) without payment of any refund of the fee to the Member. The Club may also cancel any subsequent match tickets purchased without payment of any refund of the match ticket. If a Member has any queries about this, the Member may contact the Arsenal box office.

2.8 By entering Emirates Stadium, the Member (and any guest of the Member) acknowledges that photographic images and/or video recordings and/or stills taken from those video recordings may be taken of them and may also be used in televised coverage of the game or by the Club and/or any Football Authority in perpetuity, by way of any present or future media, for any purpose deemed reasonable by the Club, including, without limitation, for marketing or promotional purposes. Entry into Emirates Stadium is confirmation that all persons have consented to such use of their image unless the Club is notified in writing to the contrary. If any images should feature an individual prominently the Club will make reasonable efforts to gain the consent of that person before publishing such image. However, if this is not possible, then entry into Emirates Stadium shall be deemed consent unless the Club is notified in writing to the contrary.

3. Lost or Stolen Membership Cards

The Club is not responsible for any Membership Card / home match ticket which is forgotten, lost, stolen, defaced, damaged or destroyed.  If the home match ticket is forgotten, lost, stolen, defaced, damaged or destroyed, a duplicate card or ticket may be obtained by the Member, at the Club’s discretion, upon payment by the Member of a non-refundable administration fee of £10.00 at the Club’s match day ticket office or as otherwise directed by the Club from time to time.  The Club reserves the right to withdraw this duplicate ticket facility for any particular match or matches without notice.

4. Benefits of Membership

4.1 The benefits afforded to Silver Members shall include the opportunity, subject to availability, to purchase tickets for all of the Club’s first team home matches at the Emirates Stadium. 

4.2 The benefits afforded to Red Members include the following: a minimum of 3,500 tickets will be available to purchase for each home Premier League fixture following the initial ticket purchase window for Silver Members.  For all other matches (FA and Carling Cups and UEFA Competitions), Red Members will have the opportunity to purchase tickets after sales to Silver Members, subject to availability.

4.3 A Member shall not be able to purchase more than one ticket using the Membership Card for any match, save as expressly permitted by the Club from time to time. 

4.4 Nothing in these Conditions of Issue shall constitute or imply that the Member has any guarantee of entitlement to any ticket, seat or access to any area of the Emirates Stadium for any match or matches.

4.5 The Club will notify Members from time to time, by way of notice in the match day programme or on the Website, of the availability of any home match day tickets for purchase by the relevant category of Member and also the manner or system which must be followed by Members in order to purchase any such tickets.  The Club may impose any limitations or restrictions on the means of purchase of any such tickets as it may, in its discretion, determine, whether for any particular match or matches or otherwise.

4.6 Without limitation, the Club reserves the right to vary the benefits provided to Members and the manner or system by which match tickets are sold. The Club will use reasonable endeavours to provide reasonable notice to Members in the match day programme or through the Website or by email relating to changes to the manner or system by which match tickets are sold.  

4.7 Any Member who has selected Silver Membership Lite or Red Membership Lite in respect of any season will not be able to upgrade to full Silver or Red Membership during that season.

4.8 Junior Gunners are entitled to a discount of 10% on all UK based Arsenal Soccer School holiday courses until the end of the relevant membership season.   Discounts are not applicable on after school, weekend or advance courses in the UK or any International programmes.

5. Arsenal Player Access

5.1 Access to Arsenal Player is provided for Members and is governed by these Conditions of Issue which you are deemed to accept by using Arsenal Player. 

5.2 Use of Arsenal Player

(A) The Club, under licence from Arsenal Broadband Limited (“ABL”), provides you with access to various features and services within Arsenal Player. Some aspects of Arsenal Player may be provided by third parties in accordance with their terms and conditions, which are separate from these Conditions of Issue. 

(B) As part of Arsenal Player, you will be able to access certain video and audio footage, photographs, text images, statistics, logos and other media and intellectual property related to ABL and/or The Arsenal Football Club plc. All design, text, graphics, footage and the selection or arrangement thereof are protected by copyright, trade mark and/or other proprietary rights owned by or licensed to ABL.  ABL may from time to time modify Arsenal Player without giving you notice. 

(C) On entry to Arsenal Player, you will be required to enter your membership number and password. You must keep your password secure and not disclose it to any other person. If it becomes known by a third party, you must inform us by sending an email to arsenalplayer@arsenal.co.uk. Neither the Club nor ABL are liable for any loss or damage arising from your failure to comply with this obligation.

(D) Arsenal Player is to be used by only one individual per membership number. In order to use Arsenal Player or access the content, you must (a) obtain access to the World Wide Web and pay any service fees associated with such access; (b) provide all equipment necessary to make such connection to the World Wide Web, such as a computer and modem or other necessary access device; (c) have the necessary software installed on your terminal or mobile (such as Adobe Flash for access via a computer terminal) (the "Software").  Your use of the Software is subject to the terms of the licence granted to you by the licensor(s).  The Club does not provide and is not responsible for the Software, or for any problems caused by the Software, computer hardware or computer operations systems.

(E) Your right to use Arsenal Player is personal to you. You are wholly responsible for the use of Arsenal Player by any person using your personal computer or point of presence and you are responsible for ensuring that any such person also fully complies with these Conditions of Issue. You agree to use Arsenal Player in a manner consistent with any and all applicable laws and regulations in the country from which you have accessed Arsenal Player.

(F) You must not (nor authorise or permit any other party to):

(i) abuse Arsenal Player or use it for any unlawful purpose;

(ii) use or launch any automated system (including, without limitation, any robot, spider or offline reader) that accesses Arsenal Player in a manner that sends more request messages to the ABL servers in a given period of time than a human can reasonably produce in the same period by using a publicly available, standard (i.e. not modified) web browser;

(iii) access Arsenal Player for any reason other than your personal, non-commercial use solely as intended through and permitted by the normal functionality of Arsenal Player;

(iv) transmit any computer viruses through Arsenal Player;

(v) use Arsenal Player in a way that may cause Arsenal Player and/or the set and equipment used by ABL to provide Arsenal Player (the "System") to be interrupted, damaged, rendered less efficient or impaired;

(vi) store your password anywhere on a computer in plain text;

(vii) use Arsenal Player in any manner which violates or infringes the rights of any person, firm or company (including without limitation rights of intellectual property, confidentiality or privacy);

(viii) reproduce, modify, distribute or publish any of the content of Arsenal Player without our prior written permission although you may electronically copy and print in hard copy portions of Arsenal Player for your personal use only and not for any commercial gain; or

(ix) sell, assign, transfer or delegate all or any of your rights and obligations to another person or entity, or share use of Arsenal Player or any content contained within it.

5.3 Disclaimer of Warranties 

(A) The Club provides you with access to Arsenal Player on an "as is" basis and makes no representations or warranties of any kind with respect to Arsenal Player or its content including (without limitation) implied warranties as to completeness, accuracy, availability, satisfactory quality and fitness for a particular purpose, except to the extent required by law. 

(B) The Club does not warrant that Arsenal Player will meet your particular requirements or that it will be uninterrupted, timely, secure or error-free, nor do we make any warranty as to results or the accuracy of any information obtained by you through Arsenal Player, except to the extent required by law. 

5.4 Limitation of Liability 

(A) Neither the Club nor any of its directors, employees or other representatives will be liable for damages, in contract, tort or otherwise including negligence, arising out of or in connection with the use of Arsenal Player. You confirm that the Club shall not be liable to you or any third party for any modification to, suspension of or discontinuance of Arsenal Player. This limitation of liability (to the extent permitted by law) applies to all damages of any kind, including (without limitation) compensatory, direct, indirect or consequential damages, loss of data, income or profit, loss of or damage to property and claims of third parties. 

(B) The Club does not limit or exclude its liability for death or personal injury resulting from its negligence.

5.5 Suspension and Termination

The Club may suspend or terminate your access to Arsenal Player at any time in our absolute discretion if:

(A) your use of Arsenal Player is considered abusive, excessive, or against the interests of other subscribers, or in breach of these Conditions of Issue or the Website Terms of Use; 

(B) your Membership expires or is terminated for any reason; or

(C) a competent regulatory authority requires Arsenal Player to be suspended or terminated. 

5.6 Maintenance

From time to time, Arsenal Player may be closed down in order for work to be carried out relating to the upgrading or maintenance of the System or necessary for the provision of Arsenal Player.  The Club shall give as much notice as is reasonable in the circumstances and shall endeavour to ensure that such works are carried out as expeditiously as is possible in the circumstances. 

5.7 Licence to Download Material

(A) The Club grants you a non-exclusive, non-assignable, and non-transferable license to use and display, for personal use only, one copy of any material that you may download from Arsenal Player, including, but not limited to, any files, codes, audio, or visual images incorporated in or generated by the software (collectively "Downloaded Material") provided, however, that you maintain all copyright and other notices contained in such Downloaded Material. 

(B) You acknowledge and agree not to sublicense, assign, or otherwise transfer this license or the Downloaded Material. You also agree not to alter, disassemble, decompile, reverse engineer, or otherwise modify the Downloaded Material.

5.8 Indemnity

(A) You agree to fully indemnify the Club and ABL immediately on demand against all claims, liability, loss, damages, costs and expenses, including legal fees, arising out of any breach of these Conditions of Issue by you (or any other user whom you permit to use Arsenal Player with your membership number) or any other liabilities arising out of your or their use of Arsenal Player and/or the System. 

(B) You shall provide us with notice of such claims, full authority to defend, compromise or settle such claims and reasonable assistance necessary to defend such claims, at your sole expense. 

6. Pricing and Ticket Information

Whilst we try to ensure that pricing and ticketing information on our Website are correct at all times, errors may occasionally occur. If we discover an error in the price or nature of the ticket you have ordered, we will inform you as soon as possible, and give you the option of reconfirming your order at the correct price/specification or cancelling it. If we are unable to contact you, we will unfortunately have to treat the order as cancelled. If the order is cancelled, we will of course provide you with a full refund (including booking fees). 

7. Use of the Family Enclosure

Within the family enclosure section of the Emirates Stadium (the “Family Enclosure”) the following additional regulations must be adhered to by Members at all times:

(A) The Family Enclosure is restricted to members who are Junior Gunners, Senior Citizens  or Cannon Club only.

(B) Silver Members and Red Members who are adults are only permitted to be in the Family Enclosure if they are accompanying a Junior Gunner.  A maximum of 2 adult Red or Silver Members are permitted to accompany each Junior Gunner.

(C) For Silver and Red Members, tickets for the Family Enclosure may be purchased through the Website at www.arsenal.com/membership or by calling +44 (0) 20 7619 5000 (subject to availability and the Club’s timescales).

(D) Junior Gunners, Cannon Club and Senior Citizen Members may only purchase tickets in the Emirates Stadium outside the Family Enclosure once the Family Enclosure is sold out.  Subject to availability and time scales, tickets may be purchased through the Website at www.arsenal.com/membership or by calling 0844 ARSENAL (0844 277 3625).  Any such tickets purchased will be charged at full price and may only be used by Members with a concessionary priced Membership.

(E) Senior Citizens and Cannon Club Members may only purchase tickets in the Family Enclosure for themselves or within a group containing Silver and Red Members who are accompanying Junior Gunners in accordance with the restriction set out above.

(F) All Members must show their Membership Card to a Club member of staff/stewards upon request. Other photographic identification and evidence of the date of birth of the Member may also be requested and, if requested, must be shown to the Club member of staff or a steward. 

(G) Under normal circumstances no adult may use a concessionary priced ticket (other than legitimate use by Senior Citizens).  If this is likely to happen, the Member must contact the Arsenal Contact Centre (Tel.: +44 (0) 207 619 5000) for advice on the correct procedure prior to the relevant match. Failure to make contact with the Club prior to the date of the fixture may result in the relevant Membership Card(s) being confiscated and/or the Member being ejected from the Emirates Stadium. The Club regrets that it is unable to deal with any requests or enquiries of this nature on the day of a fixture.

8. Concessionary Memberships and Tickets

8.1 Concessionary Memberships and related tickets may only be used by persons that qualify for such Memberships, as follows:

(A) “Team JG’s” by persons who will be aged 4 to 11 (inclusive) at 31 August of the relevant season. 

(B) “Young Guns” by persons who will be aged 12 to 16 (inclusive) at 31 August of the relevant season.

(C) “Cannon Club” by persons who will be aged 17 or 18 (inclusive) at 31 August of the relevant season and who were either a Young Gun for the whole of the previous 2 seasons or a member of the Cannon Club for the previous season.

(D) “Senior Citizen” by persons who will be aged sixty five or over (inclusive) at 31 August of the relevant season.

8.2 If any person enters or seeks to enter the Emirates Stadium with a concessionary Membership ticket in circumstances where such person is not entitled to such concession as set out above, that person will be refused entry to, or ejected from, the Emirates Stadium and will have the relevant Membership(s) withdrawn.  In such case, no refund will be given to the Member or any other person and it may result in criminal prosecution.

8.3 ‘Junior Gunner’ Memberships are split into four levels: 

(A) “Welcome To Our World”: 0 - 3 years of age (inclusive) at 31 August of the relevant season. This membership level does not have any entitlement to purchase match tickets.

(B) “Team JG’s” by persons who will be aged 4 to 11 (inclusive) at 31 August of the relevant season. 

(C) “Young Guns” by persons who will be aged 12 to 16 (inclusive) at 31 August of the relevant season.

(D) “Cannon Club” by persons who will be aged 17 or 18 at 31 August of the relevant season and who were either a Young Gun for the whole of the previous 2 seasons or a member of the Cannon Club for the previous season.

8.4 Subject always to Clause 8.5 below, from the 2012-13 season the Membership progression for all Junior Gunners Members whose birthdays falling  in the 2012-13 season are their 15th birthday or less shall be as follows:

all Junior Gunners Members shall be treated as Red Members for the purpose of any applicable benefits associated with the longevity of Membership that are provided by the Club from time to time;

for example, in the current Membership structure, in the event that a Member has held Junior Gunner Membership for four years they shall be regarded as having been a Red Level member for four years for the purpose of progression to Silver Membership. Under the current structure, the earliest any Member will be offered Silver Membership is at the age of 19 following progression from Cannon Club if they qualify through the Red Member waiting list.     

8.5 The Club reserves the right to restructure, change and/or withdraw any level and/or type of Membership and/or the associated benefits from season to season. Purchase of a particular Membership for one season does not guarantee that such Membership, any other Membership  and/or the associated benefits will be available in the following season.

9. Suspension or Cancellation of Membership

9.1 The Club may suspend or cancel the Membership Card (and all associated benefits) in the event of the Member, or any other person occupying a seat purchased using the Membership Card, being ejected or banned from the Emirates Stadium or any other sports ground anywhere in the world, breaching any of the Ground Regulations or any other of these Conditions of Issue, or in the event of any abusive, dangerous or other unacceptable behaviour by the Member or such other person.  

9.2 In the event of the suspension or cancellation of your Membership under clause 9.1 above, the Club will be under no obligation to refund the Fee paid by you (or any part thereof) in relation to your Membership and to the maximum extent permitted by law will have no other liability in connection therewith.

10. Exclusion of Liability

Except as otherwise set out in these Conditions of Issue, and to the fullest extent permitted by applicable law, the Club shall not have any liability to the Member in respect of any failure to carry out, or any delay in carrying out, any matter in respect of “The Arsenal” Membership Scheme, including admitting the Member to the Emirates Stadium for a particular match, caused by any circumstances outside the Club’s reasonable control. For the avoidance of doubt, and without limitation, in no circumstances shall any term of these Conditions of Issue exclude the Club’s liability for personal injury or death as a result of its negligence or for fraud.

11. General

11.1 The Club reserves the right to make changes to any of these Conditions of Issue.  Any such changes will be notified to Members in the match day programme or through the Website.

11.2 The invalidity or partial invalidity of any provision of these Conditions of Issue shall not prejudice or affect the remainder of these Conditions of Issue, which shall continue in full force and effect.

11.3 These Conditions of Issue, and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales.  The parties hereby submit to the exclusive jurisdiction of the Courts of England and Wales.

11.4 The Club’s failure to exercise, or delay in exercising, any right, power or remedy provided by these Conditions of Issue, the documents referenced herein or by law shall not constitute a waiver of that right, power or remedy.  

12. Disabled Members

12.1 Disabled Members must bring their current Platinum, Gold or Purple Membership Card with them to every home match. A disabled Member’s carer/companion must also bring their Membership Card with them to every home match.

12.2 Carers/companions must NOT attend matches on their own or with any non-disabled person.  If a Disabled Member is unable to attend a match please notify the Disability Liaison Team as soon as possible so that we can sell or donate such Member’s place to another disabled supporter, a charity or local disability organisation.  

12.3 Disabled Members must also bring their Disabled Supporters Registration Card (the white photo ID card) with them to every home match.  

12.4 Please note that stewards and Club staff will be carrying out checks on all ticket holders and Members.  All proven abuses of the disabled supporter’s concessionary scheme will be dealt with severely and will result in the loss of your Membership. It may also result in criminal prosecution.

13. Definitions

In these Conditions of Issue:

 “Club” means The Arsenal Football Club plc.

“Conditions of Issue” means these terms and conditions governing the issue and use of an Arsenal Membership card.  The Ground Regulations shall be incorporated in, and form part of, these Conditions of Issue.

“Emirates Stadium” means Emirates Stadium, London N7 7AJ;

“Fee” means the relevant amount (if any) payable on an annual basis by the Member for his or her appropriate membership (whether Red, Red Lite, Silver, Silver Lite, Gold, Junior Gunner, Purple, Cannon Club or Senior Citizen) as detailed in the application form and on the Website;

“Football Authority”

means any or all of The Premier League, Football Association, the Football Association of

Wales, FIFA, UEFA and any other relevant governing body of association football;

"Ground Regulations" means those ground regulations issued by the Club from time to time that set out the terms and conditions upon which spectators are granted entry to the Ground (copies of which are on display at Emirates Stadium and which can also be obtained upon request from the Club);

 “Member” means a person who is registered through “The Arsenal”, the Club’s official membership scheme, whether at Red Level (“Red Members”), Silver Level (“Silver Members”), Gold Level (“Gold Members”), Purple Level (“Purple Members”), Junior Gunners (“Junior Gunners”), Cannon Club (“Cannon Club”), Senior Citizen (“Senior Citizen”) or Platinum Level (“Platinum Members”) and “Membership” shall be construed accordingly; and

 “Website” means the website at www.arsenal.com/membership.y to the Ground (copies of which are on display at Emirates Stadium and which can also be obtained upon request from the Club);

 “Member” means a person who is registered through “The Arsenal”, the Club’s official membership scheme, whether at Red Level (“Red Members”), Silver Level (“Silver Members”), Gold Level (“Gold Members”), Purple Level (“Purple Members”), Junior Gunners (“Junior Gunners”), Cannon Club (“Cannon Club”), Senior Citizen (“Senior Citizen”) or Platinum Level (“Platinum Members”) and “Membership” shall be construed accordingly; and

 “Website” means the website at www.arsenal.com/membership.
